1. Introduction

Welcome to Curavia ("we", "our", "us"). These Terms of Service ("Terms") govern your access to and use of our pharmacy management platform, including our website, applications, and services (collectively, the "Service").

By accessing or using our Service, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Service.

2. Definitions

  • "Platform" means the Curavia pharmacy management SaaS platform
  • "Pharmacy" means a registered pharmacy business using our Platform
  • "Customer" means an individual booking services through a Pharmacy's website
  • "User" means any person accessing the Platform, including Pharmacies and Customers
  • "Subscription" means the paid plan a Pharmacy subscribes to

3. Account Registration

3.1 Pharmacy Accounts

To use our Platform as a Pharmacy, you must:

  • Be a legally registered pharmacy in the United Kingdom
  • Provide accurate, complete, and current registration information
  • Maintain the security of your account credentials
  • Promptly notify us of any unauthorized access to your account
  • Be responsible for all activities that occur under your account

3.2 Customer Accounts

Customers may create accounts to book pharmacy services. You agree to provide accurate information and maintain the confidentiality of your login credentials.

4. Subscription and Payments

4.1 Subscription Plans

Pharmacies must subscribe to a paid plan to use the Platform. Subscription details, including pricing and features, are displayed on our website and may be updated from time to time.

4.2 Payment Terms

  • Subscriptions are billed in advance on a monthly or annual basis
  • All payments are processed securely through Stripe
  • Prices are stated in GBP (£) and include VAT where applicable
  • Failed payments may result in service suspension

4.3 Refunds

Subscription fees are generally non-refundable. However, we may offer refunds at our discretion in exceptional circumstances. Please contact us at legal@curavia.co.uk for refund requests.

5. Acceptable Use

You agree NOT to:

  • Use the Service for any unlawful purpose
  • Violate any applicable laws or regulations, including healthcare regulations
  • Infringe upon the rights of others
  • Upload or transmit malicious code, viruses, or harmful content
  • Attempt to gain unauthorized access to our systems
  • Interfere with or disrupt the Service
  • Resell or redistribute the Service without our written consent
  • Use the Service to send spam or unsolicited communications
  • Impersonate any person or entity

6. Pharmacy Responsibilities

As a Pharmacy using our Platform, you are responsible for:

  • Ensuring all pharmacy services comply with UK pharmaceutical regulations
  • Maintaining appropriate professional registrations (GPhC)
  • Providing accurate service information and pricing
  • Honouring bookings made through the Platform
  • Handling customer data in compliance with UK GDPR
  • Maintaining appropriate professional indemnity insurance
  • Responding to customer inquiries in a timely manner

7. Booking and Cancellation

7.1 For Customers

  • Bookings are subject to availability and pharmacy confirmation
  • Cancellation policies are set by individual pharmacies
  • No-shows may result in charges as per the pharmacy's policy

7.2 For Pharmacies

  • You must honour confirmed bookings unless exceptional circumstances apply
  • Cancellations must be communicated to customers promptly
  • Repeated cancellations may affect your platform standing

8. Intellectual Property

8.1 Our Property

The Platform, including its design, features, and content (excluding user-generated content), is owned by Curavia and protected by intellectual property laws. You may not copy, modify, or distribute our intellectual property without permission.

8.2 Your Content

You retain ownership of content you upload to the Platform. By uploading content, you grant us a non-exclusive, worldwide licence to use, display, and distribute your content solely for the purpose of providing the Service.

9. Data Protection

We process personal data in accordance with our Privacy Policy and applicable data protection laws, including UK GDPR.

For pharmacy accounts, a Data Processing Agreement may be required. Please contact us for more information.

10. Limitation of Liability

To the maximum extent permitted by law:

  • We provide the Service "as is" without warranties of any kind
  • We are not liable for any indirect, incidental, or consequential damages
  • Our total liability is limited to the fees you paid in the 12 months preceding the claim
  • We are not responsible for the actions of pharmacies or the quality of their services
  • We are not liable for any loss of data, revenue, or business opportunities

Nothing in these Terms excludes or limits liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded by law.

11. Indemnification

You agree to indemnify and hold harmless Curavia, its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from:

  • Your use of the Service
  • Your violation of these Terms
  • Your violation of any third-party rights
  • Your pharmacy services (for Pharmacy accounts)

12. Termination

12.1 By You

You may terminate your account at any time by contacting us. Subscription fees already paid are generally non-refundable.

12.2 By Us

We may suspend or terminate your account if you:

  • Breach these Terms
  • Fail to pay subscription fees
  • Engage in fraudulent or illegal activity
  • Harm other users or the Platform's reputation

12.3 Effect of Termination

Upon termination, your access to the Service will cease. We will retain your data as required by law and our data retention policies. You may request data export before termination.

13. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes via email or through the Platform. Continued use of the Service after changes constitutes acceptance of the updated Terms.

14. Governing Law and Disputes

These Terms are governed by the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.

For consumer disputes, you may also have the right to use the EU/UK Online Dispute Resolution platform.

15. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
